HYPR Delivery – Terms and Conditions of Service

These Terms and Conditions (“Terms”) govern the use of last-mile same-day pick-up and delivery services (“Services”) provided by HYPR (“HYPR,” “we,” “us,” or “our”). By accessing or using our Services, you (“Customer,” “Shipper,” or “you”) agree to be bound by these Terms unless they are altered in writing signed by both you and us.
1. Services
HYPR provides last-mile delivery of packages, parcels, and goods for commercial and consumer purposes. All Services are subject to availability, geographic limitations, and acceptance by HYPR. We reserve the right to refuse or cancel delivery of any item that we determine to be unsafe, unlawful, improperly packaged, or outside of serviceable zones.
2. Shipment Restrictions
You agree not to ship any of the following prohibited items: • Hazardous materials (e.g., explosives, flammables, corrosives) • Firearms, ammunition, or weapons • Illegal substances • Live animals • Perishables requiring temperature control. • Currency, negotiable instruments, or valuables over $500 USD unless expressly agreed in writing. Packages must comply with HYPR’s weight, dimension, and packaging requirements, available upon request.
3. Pickup and Delivery Windows
HYPR will use commercially reasonable efforts to deliver packages within the scheduled window. However, timing is not guaranteed, and delays may occur due to traffic, weather, or operational constraints.
4. Loss or Damage Liability
HYPR’s liability for loss or damage is limited to the lesser of: • $200 USD per shipment, or • The actual replacement value of the item (excluding consequential or special damages) Customers may purchase additional insurance, where available, at time of shipment. All claims must be submitted within seven (7) business days of delivery (or attempted delivery) and must include proof of value.
5. Customer Responsibilities
You agree to: • Provide accurate, complete, and lawful shipment information. • Ensure proper packaging and labeling. • Comply with all applicable laws and regulations. • Not interfere with or harm delivery personnel or property • Maintain secure handoff and receipt protocols.
6. Data Use and Privacy
By using our Services, you authorize HYPR to collect, use, and store information related to the shipment and delivery of packages, including but not limited to sender and recipient contact information, delivery location data, and package metadata. HYPR utilizes this data to operate and enhance its Services, for fraud prevention purposes, and to comply with applicable legal requirements. We do not sell personal data. Data is shared with third-party service providers only as necessary to fulfill delivery services, in accordance with our Privacy Policy.
7. Data Security
HYPR implements commercially reasonable safeguards, including encryption and access controls, to protect customer and shipment data against unauthorized access, disclosure, or misuse. However, no system is entirely secure, and you acknowledge that use of the Services involves some risk.
8. Indemnification
You agree to indemnify, defend, and hold harmless HYPR, its officers, employees, agents, affiliates, and subcontractors from all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of: • Your breach of these Terms • Your violation of any law or third-party right • Your shipment of prohibited, mis-declared, or unlawful items.
9. Disclaimers
HYPR provides Services “as is” and disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service, nor delivery within exact periods.
10. Limitation of Liability
To the maximum extent permitted by law, HYPR shall not be liable for: • Indirect, incidental, special, or consequential damages • Business interruption, loss of profits or data
11. Force Majeure
HYPR is not liable for delays or failures caused by events beyond our control, including natural disasters, acts of war or terrorism, civil unrest, strikes, power outages, or regulatory actions.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved by binding arbitration in New York, New York, under the rules of the American Arbitration Association. Each party waives its right to a jury trial and to participate in class action proceedings.
13. Modifications to Terms
We may update these Terms at any time. Material changes will be posted on our website and apply prospectively. Continued use of the Services after such posting constitutes your acceptance.
